I&rsquo;ve just had a call from Jane David, a partner in Corporate, about a really interesting matter that is just in its infancy.&nbsp;</span></span></span><span style=\"color: rgb(0, 0, 0);\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"font-size: 14px;\">&nbsp;</span></span></span></p><p><span style=\"color: rgb(0, 0, 0);\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"font-size: 14px;\">The matter concerns a longstanding client of ours, &lsquo;Panacead&rsquo; (a German pharmaceutical company) who wants to acquire &lsquo;Krynoxi&rsquo;.&nbsp;</span></span></span><span style=\"color: rgb(0, 0, 0);\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"font-size: 14px;\">Panacead has come to us for advice on whether they should acquire the business, and, if so, how.&nbsp;</span></span></span></p><p><span style=\"color: rgb(0, 0, 0);\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"font-size: 14px;\">I&rsquo;ll attach some documents to this email which have a bit more detail on the businesses but, in short, Krynoxi is a medical equipment manufacturer and Panacead thinks that acquiring Krynoxi would be a good idea. It seems that Krynoxi has developed some kind of &lsquo;revolutionary technology&rsquo; that Panacead would like to own the rights to and sell, and also take advantage of the potential synergies between both companies&rsquo; products.</span></span></span></p><p><span style=\"color: rgb(0, 0, 0);\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"font-size: 14px;\">&nbsp;</span></span></span><span style=\"color: rgb(0, 0, 0);\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"font-size: 14px;\">According to Jane, Panacead has a few questions about the deal:</span></span></span></p><ol><li style=\"font-size: 14px; font-family: Verdana, Geneva, sans-serif; color: rgb(0, 0, 0);\">Should Panacead go ahead with the transaction? What are the reasons for and against it?</li><li style=\"font-size: 14px; font-family: Verdana, Geneva, sans-serif; color: rgb(0, 0, 0);\">Should Panacead finance the acquisition through debt or equity?&nbsp;</li><li style=\"font-size: 14px; font-family: Verdana, Geneva, sans-serif; color: rgb(0, 0, 0);\">Should the transaction be structured as a sale purchase or an asset purchase?</li><li style=\"font-size: 14px; font-family: Verdana, Geneva, sans-serif; color: rgb(0, 0, 0);\">How can Panacead protect itself in light of Krynoxi being sued by one of its employees?</li></ol><p><span style=\"color: rgb(0, 0, 0);\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"font-size: 14px;\">Jane has asked me to attend a meeting today at 12:00 where we&rsquo;ll discuss our initial thoughts on the matter.
