Subject: New Panacead Matter
Happy Monday!
I’m really sorry that I’m not in the office right now - I just had to pop out quickly to run an errand.
I’ll be back in the office in about 45 minutes. In the meantime there is something that you could really help me out with. I’ve just had a call from Jane David, a partner in Corporate, about a really interesting matter that is just in its infancy.
The matter concerns a longstanding client of ours, ‘Panacead’ (a German pharmaceutical company) who wants to acquire ‘Krynoxi’. Panacead has come to us for advice on whether they should acquire the business, and, if so, how.
I’ll attach some documents to this email which have a bit more detail on the businesses but, in short, Krynoxi is a medical equipment manufacturer and Panacead thinks that acquiring Krynoxi would be a good idea. It seems that Krynoxi has developed some kind of ‘revolutionary technology’ that Panacead would like to own the rights to and sell, and also take advantage of the potential synergies between both companies’ products.
According to Jane, Panacead has a few questions about the deal:
- Should Panacead go ahead with the transaction? What are the reasons for and against it?
- Should Panacead finance the acquisition through debt or equity?
- Should the transaction be structured as a sale purchase or an asset purchase?
- How can Panacead protect itself in light of Krynoxi being sued by one of its employees?
Jane has asked me to attend a meeting today at 12:00 where we’ll discuss our initial thoughts on the matter. It would be really useful if you could (1) review the attached materials, and (2) prepare a 10 minute presentation answering the above questions for me and anything else you think is relevant.
