I combined this interest with my strong verbal reasoning skills when I opted to do my undergraduate degree in English literature. Following graduation, my enjoyment of the commercial and intellectual aspects of my A level in economics and AS level in law, plus my previous experience at a commercial law firm, led me to cement my commitment to a career in commercial law by embarking on the PGDL, for which I was awarded a scholarship based on academic excellence and career commitment, achieving a distinction of 74%. Directly afterward, I was headhunted by a legal recruitment firm, [rec firm]. There I worked in the banking &amp; finance team, connecting seasoned and expert finance lawyers with a range of financial entities. This role entailed a commercial objective, client focus and transaction lifecycle that closely resembles that of law firms. Client needs were met by a deliverables assessment, a research and knowledge-building phase, an action period where solutions were generated, a deadline for initial completion and a final pre-completion negotiation stage before conclusion. While I found the people focus of recruiting rewarding and interesting, &nbsp;I missed engaging with the mechanics of legal concepts, particularly those of finance law, which I had become acquainted with in the role. This reinforced my conviction that commercial law was my desired vocation, leading me to enrol on the LPC with a conjoined MSc in Law &amp; Business and with electives in commercial law and finance law.</span></span></span></p><p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"color: rgb(0, 0, 0);\">Alongside my listed work experience, I have held many extra-curricular positions of responsibility, including head boy at sixth form, president of the English society, editor-in-chief of the university magazine, course representative for all three years of my undergraduate degree and co-chair of the Staff-Student Liaison Committee in my final year. Despite this I have managed to cut my 5K time down to 5:20 from 7:00, a feat I am very proud of. Similarly, in the weightlifting sphere I have managed to more than double the amount I can lift since I started going to the gym. For both these pastimes, I work as part of a team of individuals who work together to support each other. Members of my running club and weightlifting team will act to check my form and ensure I do not injure myself, while also providing a source of external motivation. The inclement weather and duration of these trips require careful research and planning, not just in terms of selecting camp sites and a route, but also in identifying the right equipment to take on the trip. Many of the places we visit have bylaws about camping that require scrutiny and planning. These can often be circumvented by talking to local landowners and asking permission to camp on their land. I am often nominated to do this research and outreach, due to my interpersonal skills and legal experience. In particular, derivatives interest me, as they are a form of financial insurance. Insurance is another area of interest for me, as I considered being an underwriter before I decided on law. Indeed, I applied for the insurance law elective on my LPC. Unfortunately I could not take the insurance elective as the demand for it was too low. I am impressed by the emphasis on business skills development and strategic decision-making. The blended seminar-based, hands-on and e-learning approach that DACB employs matches my learning style. In environments such as [rec firm] and the Office for National Statistics, I found that I flourished by being put in the deep end. However, for more complex concepts, training styles like the seminar and e-learning system found in academia prove most useful in breaking these down. At [rec firm] I was introduced to complex banking &amp; debt finance law concepts, which I was able to discuss with expert finance lawyers. I am captivated by these concepts because of the impressive logic and intricacies they entail, and their centrality to our socio-economic system. This is reflected in the cross-departmental role that DACB&rsquo;s banking and finance team inhabits. DACB&rsquo;s involvement in the Gamesys Group&rsquo;s acquisition financing of Gamesys (Holdings) Limited is an example of an exciting project that is impressive in terms of its scale and its impact on high streets around the UK. It is due to my attraction for such work that I left my position at [rec firm] to cement my commitment to a career in law, specifically finance law. Indeed, according to Reuters client surveys, client focus is the most important skill a lawyer can possess. Client focus is achieved, in-part, by maintaining an ethos of attentiveness. I learned this while acting as a course representative. By actively listening to both the student body and faculty, I was able to focus in on their concerns and objectives when devising any strategy or course of action in relation to them. Armed with this information, I could successfully advocate for my peers while respecting faculty limitations. This stakeholder focus enabled me to repeatedly achieve the optimal outcome in situations of contention between the student body and faculty. For example, while I was senior course representative co-chair of the staff-student liaison committee COVID lockdowns were in force. Faculty and students alike were grappling with the challenges of online study. As I always ensured to be exhaustive in gathering data on the student body&rsquo;s mood, I became aware that the students wanted to be entitled to unlimited self-certified extenuating circumstances claims. These would allow them to defer their exams and coursework at their own discretion. When I communicated this desire to the faculty at a committee meeting the response was outright refusal. Understandably, the faculty, who were striking due to workload the year previous, did not want their carefully planned deadline matrix disrupted. I negotiated with the faculty for a more balanced remedy, highlighting their commercial interests in maintaining their courses&#39; and the university&#39;s reputation alongside moral and practical considerations pertaining to the student body. Due to my commitment to client focus, a compromise was struck where a limited but useful number of self-certified ECs were awarded per student. This was a practicable solution for the faculty that alleviated the pressure on the student body.</span></span></span></p><p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"color: rgb(0, 0, 0);\">Often good client focus requires a solid foundation of knowledge. This is gained by having an aptitude for research. This is doubly important in the legal industry where accuracy and thoroughness are paramount, as an incorrect analysis based on faulty research may have devastating consequences for a client. My research skills have been honed throughout my time in academia. I also demonstrated research ability in my role at [legal tech firm], where I wrote engaging blogs and insights that our business development team could utilise. This required in-depth research into macro-economic legal trends and legal tools. This research needed to be thorough and underpinned by commercial awareness, as the end goal was to use the insights generated from my research to convince firm partners and operations managers that our product would enhance their ability to satisfy their clients. Across my leadership roles, I developed my ability for interpersonal communication. (500 words)</strong></span></span></span></p><p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"color: rgb(0, 0, 0);\">The new 2024 Financial Conduct Authority (&lsquo;FCA&rsquo;) sustainability disclosure requirements (&lsquo;SDRs&rsquo;), as discussed in DACB&rsquo;s asset regulation 2024 article, are an impactful development in the equity capital markets sphere and an omen of the increasing significance of sustainability and ESG in corporate financing. As of May through December 2024, a suite of new SDRs will apply to UK funds, requiring fund managers to ensure the sustainability labelling of their products is accurate.</span></span></span></p><p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"color: rgb(0, 0, 0);\">The newest of these new regulations, an anti-greenwashing rule, is a reflection of the regulatory priority the FCA is placing on tackling greenwashing. The proposed ESG 4.3.1R adds to the existing ESG requirement that financial promotions not be misleading by requiring that references to the sustainability of a product be consistent with the actual sustainability characteristics of the product. This rule applies to all financial product communications that refer to sustainability-related features of the item. This regulation is intended to provide recourse for the FCA to penalise funds that mislabel their products. In practice, the addition does not provide more scope than is provided under the present standard, but ongoing draft guidance may stand to tighten this effect.</span></span></span></p><p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"color: rgb(0, 0, 0);\">July 2024 will see new rules on fund labelling introduced. The FCA will bring four optional labels into effect; sustainability focus, sustainability improvers and sustainability mixed goals. These labels are designed to provide investors with clear guidelines on the nature of the financial products they are investing in. Each label entails requirements that must be met in order to benefit from the sustainability status and associated marketing potential of its label. An aspect which has received criticism is the requirement that a fund product must have 70% of its contents be focused on the specific sustainability goal of its label to qualify, a threshold that may be deleterious from a liquidity and risk management perspective.</span></span></span></p><p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"color: rgb(0, 0, 0);\">As of December, non-labelled funds promoting products to retail clients will be restricted from using a slew of ESG-related terms, unless a range of conditions are met that ensure the marketing of the fund reflects the actual ESG characteristics of the fund. The effect of this is similar to ESG 4.3.1R, though it places the burden on the fund manager to explain, at first instance, the use of the regulated terms in the marketing paraphernalia of the fund.</span></span></span></p><p style=\"text-align: justify;\"><span style=\"font-size: 14px;\"><span style=\"font-family: Verdana,Geneva,sans-serif;\"><span style=\"color: rgb(0, 0, 0);\">If I were to write a follow-up article to this report, I would seek to cover likely future developments in this increasingly important regulatory area, such as the potential outcomes of the ongoing draft guidance. I would also seek to address the effect of these regulations on corporations seeking to access equity finance. While the article covers the effect on investors, distributors and fund managers, it does not consider the fact that this regulatory burden may be passed onto corporations, who will need to ensure their ESG policies reflect the evidence-based standard required by the FCA, lest they face exclusion from increasingly popular sustainability-focused financial products.</span></span></span></p>"
